Job Summary & Key Responsibilities

  • The position of Assistant Company Secretary plays a vital role in maintaining organizational integrity and corporate compliance. Key responsibilities include:
    • Ensuring Compliance: Guaranteeing that all Board procedures are strictly followed and that all applicable laws, rules, regulations, and best practices are complied with.
    • Assisting the Company Secretary: Supporting the Company Secretary in following up on the implementation of Board decisions through effective recording, communication, and follow-up with relevant stakeholders and progress reporting.
    • Legal & Statutory Frameworks: Ensuring total compliance with applicable corporate laws, statutory requirements, and other prevailing laws.
    • Financial Reporting & Publications: Actively participating in the publication and circulation of the Company’s quarterly and annual accounts and financial reports.

Minimum Qualification & Experience Requirements

  • Candidates wishing to apply must fulfill either of the following criteria:
  • Option 1: CA / ACMA
    • Must be a CA / ACMA with at least 9 years of post-membership experience.
    • This experience must include 3 years of relevant experience in the Company / Board Secretariat of a listed SOE (State-Owned Enterprise) or a large listed company.
  • Option 2: MBA
    • Must hold an MBA degree with at least 11 years of experience.
    • This experience must include 5 years of relevant experience in the Company / Board Secretariat of a listed SOE or a large listed company.

Mandatory Knowledge & Skills:

  • Candidates must have hands-on experience and full command over the following regulations and laws:
  • State-Owned Enterprises Act, 2023 and SOEs Policy
  • Companies Act, 2017
  • Listed Companies (Code of Corporate Governance) Regulations, 2019
  • PSX Rulebook
  • Securities Act, 2015
  • CDC Regulations
  • Correspondence Manual for Listed Companies by PSX and other applicable laws.
